These Terms of Service ("Terms") govern your access to and use of cosmosourcing.com and the services provided by Cosmo Sourcing LLC ("Cosmo Sourcing," "we," "us," or "our"). Please read them carefully. By using our website or engaging our services, you agree to these Terms.
1.Acceptance of These Terms
By accessing or using our website or services, you confirm that you are able to form a binding contract and that you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our website or services.
2.About Our Services
Cosmo Sourcing LLC is a Wisconsin limited liability company and a fixed-fee sourcing company. We help buyers identify and connect with vetted manufacturers, primarily in Vietnam, Mexico, China, and elsewhere, and we provide related sourcing support. We work on a fixed fee and do not take commissions or mark up factory pricing. Once we introduce you to a manufacturer, you work and contract with that manufacturer directly.
3.Use of the Website
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the website for your own informational and business purposes. You agree not to misuse the website, including by attempting to gain unauthorized access, interfering with its operation, scraping or copying content at scale, or using it for any unlawful purpose.
4.Intellectual Property
The content on this website, including text, graphics, logos, and the Cosmo Sourcing name and brand, is owned by or licensed to Cosmo Sourcing and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written permission, except as permitted by law.

We vet manufacturers and provide introductions, quotes, and sourcing guidance with reasonable care and skill. However, we are not a manufacturer, freight forwarder, or selling agent, and we are not a party to any agreement you enter into with a manufacturer or other third party.
We do not guarantee the performance, product quality, pricing, lead times, delivery, or conduct of any manufacturer or third party we introduce, and we do not guarantee any particular business outcome. You are responsible for conducting your own due diligence and for the terms you agree with any manufacturer.
6.Fees and Engagement
Our services are provided on a fixed-fee basis. The specific services, fees, and terms that apply to an engagement are set out in the separate service agreement or written proposal we provide to you. Information on this website is for general purposes and does not by itself create a binding engagement. In the event of a conflict between this website and your signed service agreement, the service agreement controls.
7.Third-Party Services and Links
Our website may reference or link to third-party websites, tools, or services that we do not control, including scheduling and communication tools. We provide these for convenience and are not responsible for the content, policies, or practices of any third party.
8.Disclaimer of Warranties

You agree to indemnify and hold harmless Cosmo Sourcing and its owners, employees, and contractors from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising out of your use of the website or services, your dealings with any manufacturer or third party, or your breach of these Terms.
11.Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules.
Any dispute, claim, or controversy arising out of or relating to these Terms or our website or services will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The arbitration will be seated in Wisconsin and conducted in English before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. To the extent permitted by law, disputes will be resolved on an individual basis and not as part of a class or representative proceeding. Either party may still seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
Disputes under your separate manufacturing or NNN agreements may be governed by different terms, such as the arbitration framework set out in those agreements.
12.Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our website or services after an update means you accept the revised Terms.
13.General
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a sale or reorganization of our business. These Terms, together with any applicable service agreement and our Privacy Policy, form the entire agreement between you and Cosmo Sourcing regarding your use of the website.
